The laws of Nigeria shall govern these Terms of Use. You hereby expressly consent to exclusive jurisdiction and venue in the courts located in Lagos state, Nigeria for all matters arising in connection with these terms of use or your access or use of the service. Any dispute arising out of this Agreement, which cannot be settled, by mutual agreement/negotiation within 14 days shall be referred to arbitration by a single arbitrator at the Lagos Multi-Door Courthouse (“LMDC”) and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria. The arbitrator shall be appointed by the Parties, where Parties are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LMDC. The findings of the arbitrator and subsequent award shall be binding on the Parties. Each Party shall bear its cost in connection with the Arbitration.

These Terms constitute the entire agreement between you and IbadanInsider with respect to the subject matter of these Terms, and supersede and replace any prior version of the Terms. These Terms create no third party beneficiary rights.

IbadanInsider’s failure to enforce a provision of these Terms is not a waiver of its right to do so later. If any provision of these Terms is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term or terms will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any attempt to do so will be void. IbadanInsider may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.
